Terms & Conditions

INTRODUCTION

These Terms and Conditions ("Terms") govern your use of services provided by Agiwal Fintech Private Limited ("Company", "we", "us", or "our"), including but not limited to:

• Software development services
• Mobile and web application development
• Technology consulting and support
• Related digital solutions

By accessing or using our services, you ("Client", "you", or "your") agree to be bound by these Terms.

DEFINITIONS

"Deliverables" means all software, code, documentation, and materials produced under these Terms.

"Project" means the specific scope of work agreed upon between the parties.

"Confidential Information" includes all non-public business, technical, and financial information.

SERVICES AND DELIVERABLES

Service Provision

We will provide services with reasonable skill and care in accordance with industry standards.

Project Specifications

Detailed requirements will be outlined in individual Statements of Work ("SOW").

INTELLECTUAL PROPERTY RIGHTS

Ownership

All pre-existing intellectual property remains the property of its original owner.

Deliverables

Upon full payment, we grant you a perpetual, non-exclusive license to use the Deliverables for their intended purpose.

Restrictions

You may not:

• Reverse engineer any software provided
• Remove any proprietary markings
• Resell or redistribute our solutions without written consent

FEES AND PAYMENT TERMS

Pricing Structure

Fees may be:

• Fixed price per project
• Time and materials basis
• Monthly retainers

CONFIDENTIALITY

Both parties agree to:

• Maintain confidentiality of all shared information
• Use confidential information only for project purposes
• Return or destroy confidential information upon request

DATA PROTECTION

We comply with applicable data protection laws including:

• India's Digital Personal Data Protection Act (DPDPA) 2023

WARRANTIES AND LIMITATIONS

Service Warranty

We warrant that services will be performed with reasonable skill and care.

Limitation of Liability

Our total liability shall not exceed the fees paid for the relevant services.

TERMINATION

Termination for Cause

Either party may terminate for material breach with 30 days' written notice.

Effects of Termination

Upon termination:

• You must pay for all services rendered
• We will deliver all completed work
• Both parties will return confidential information

GOVERNING LAW AND DISPUTE RESOLUTION

The formation and interpretation of these Terms of Use, Privacy Policy or any other applicable policy and any disputes arising in relation thereto shall be governed by the substantive and procedural laws of India. Courts at Delhi, India shall have exclusive jurisdiction in or in relation to any matter arising under the present Terms of Use or connected policies including but not limited to the Privacy Policy.

In the event of disputes, differences or claims arising out of or in connection with these Terms of Use and/or the other applicable policies including but not limited to Privacy Policy or in any way relating hereto or any term, condition or provision herein mentioned or the construction or interpretation thereof or otherwise in relation thereto, Agiwal Fintech Private Limited and You shall first endeavor to settle such differences, disputes or claims by amicable settlement and failing such settlement, the same shall be resolved by arbitration by a sole Arbitrator to be appointed mutually by Agiwal Fintech Private Limited and You. The arbitration proceedings shall be held in accordance with the Arbitration and Conciliation Act, 1996 or any statutory modification or re-enactment thereof for the time being in force. The place of Arbitration shall be Delhi and the proceedings shall be conducted in the English or Hindi language.

GENERAL PROVISIONS

Entire Agreement

These Terms constitute the entire agreement between the parties.

Amendments

Any changes must be in writing and signed by both parties.

Severability

If any provision is invalid, the remaining provisions shall remain in effect.
